INTERNATIONAL COMMERCIAL SALES AGREEMENT

Terms of Service & Commercial Conditions

Effective: September 2026 • Governing Law: International E-Commerce & Commercial Standards (EU, UK, US)

STATUTORY LEGAL NOTICE: CUSTOM MADE-TO-ORDER GOODS (NO RIGHT OF CANCELLATION)

All merchandise offered on THREADFLOW is individually manufactured, tailored, and printed on-demand based upon the buyer's unique graphical selections, placement settings, and size selections. Under Article 16(c) of EU Directive 2011/83/EU, Regulation 28(1)(b) of the UK Consumer Contracts Regulations 2013, and applicable international commercial codes, goods made to the consumer’s specifications or clearly personalized are strictly exempt from statutory cooling-off periods, rights of cancellation, or rights of return. All completed purchases are strictly final sale.

1. Binding Agreement & Eligibility

By accessing, browsing, interacting with our garment customizer, or completing an order through THREADFLOW ("the Store", "we", "us"), you ("Customer", "Buyer", "User") enter into a legally binding contract governed by these Terms of Service. If you do not agree unconditionally to every provision contained herein, you must immediately terminate use of our platform and refrain from submitting orders.

You represent and warrant that you are at least 18 years of age (or have reached the age of majority in your jurisdiction) and possess full legal authority to enter into commercial transactions and bind yourself to these terms.

2. Custom Print-On-Demand Production & All Sales Final

2.1 Automated Immediate Dispatch: Upon successful authorization of payment via Stripe, orders are programmatically converted into production files and transmitted to automated industrial direct-to-garment (DTG) print queues. Because raw blanks are immediately loaded and printed, orders cannot be paused, amended, re-routed, or cancelled.

2.2 Absolute Final Sale: Because custom decorated garments cannot be restocked, inventoried, or resold to third parties, all sales are strictly final. We do not provide refunds, store credits, or exchanges for buyer's remorse, change of mind, perceived aesthetic dissatisfaction, or subjective preference.

3. Sizing, Dimensions & Manufacturing Tolerance

3.1 Buyer Measurement Responsibility: Accurate, comprehensive sizing charts specifying chest width, body length, and sleeve measurements (in both inches and centimeters) are provided directly on our studio customizer. The buyer bears 100% legal responsibility for consulting the size guide and measuring an existing garment prior to completing checkout.

3.2 Industry Manufacturing Tolerances: In accordance with standard apparel manufacturing guidelines, all garment blanks are subject to an acceptable industry dimensional tolerance of ±1.0 inch (2.54 cm) in length and width. Measurements falling within this tolerance range are standard and do not constitute a defect or deviation from specification.

3.3 No Size Exchanges: We do not offer returns, exchanges, or reprints for garments ordered in the wrong size.

4. Display Calibration, RGB vs. CMYK & Textile Printing Physics

4.1 Color Rendition Disclaimers: Computer and mobile screens render imagery using transmissive RGB light pixels. Industrial Direct-to-Garment (DTG) machinery utilizes CMYK pigmented water-based inks that bond and absorb into natural cotton fibers. Natural variations in fabric absorption, yarn texture, screen brightness, and ambient lighting will produce slight visual differences between a backlit screen mockup and a physical printed garment. Such variations are an inherent physical property of textile manufacturing and do not constitute a flaw or defect.

4.2 Customer File Resolution Warranty: Print quality is directly determined by the resolution and fidelity of the file uploaded by the buyer. Files uploaded below 150 DPI will inevitably reproduce source artifacts, blurriness, or pixelation. The buyer accepts sole liability for print clarity resulting from low-resolution artwork submitted.

5. Intellectual Property Warranty, Prohibited Content & Complete Indemnification

5.1 Warranty of Ownership: By uploading, placing, or submitting any image, trademark, graphic, logo, slogan, or text, you explicitly warrant and represent under penalty of perjury that:

  • You are the sole author, copyright holder, and intellectual property owner of the content; or
  • You have secured express, verifiable commercial licensing and authorization from the rightful copyright or trademark proprietor.

5.2 Prohibited Submissions: You agree not to submit content that infringes upon third-party patents, copyrights, trademarks, publicity rights, or trade secrets, or content that contains illegal, libelous, defamatory, or hateful material.

5.3 Full Hold-Harmless Indemnification: You agree to defend, indemnify, and hold harmless THREADFLOW, its owners, operators, affiliates, contractors, and fulfillment partners (including Printify, Inc. and Printful, Inc.) from and against any and all claims, lawsuits, damages, regulatory penalties, settlements, and attorney fees arising from or related to any alleged intellectual property infringement or violation of law stemming from artwork or text you submitted.

6. Chargeback Abuse, Friendly Fraud & Liquidated Administrative Dispute Fees

6.1 Mandatory Prior Support Exhaustion: You agree that prior to initiating any payment dispute, reversal, or chargeback with your card issuing bank or payment processor, you must first contact our support desk in writing and allow ten (10) business days to investigate and resolve your inquiry in accordance with our Return Policy.

6.2 Chargeback Liquidated Damages: Initiating an unsubstantiated, fraudulent, or bad-faith chargeback (including claims of "item not as described" regarding sizing or normal color variance, or claiming non-receipt when carrier GPS confirms delivery) constitutes a material breach of this commercial contract. In such event, you contractually agree to pay a liquidated administrative dispute fee of $50.00 USD plus all bank merchant dispute assessment penalties and reasonable legal collection costs incurred by us.

6.3 Digital Forensic Audit Evidence: In any disputed transaction, we provide payment card networks (Visa, Mastercard, American Express) with our complete forensic audit dossier, including your affirmative terms acceptance timestamp, IP address geolocation, digital garment mockup proof, and courier GPS coordinates.

7. Manufacturing Defects & Replacement Protocol (Reprint Only)

7.1 14-Day Reporting Window: If an item contains a legitimate manufacturing defect (e.g. torn seam, hole, severe printing misalignment, wrong blank shipped), you must notify support within 14 calendar days of the carrier delivery timestamp.

7.2 Mandatory 3-Photo Evidence: In order to qualify for a replacement, claims must be accompanied by three unedited photographs: (1) full garment showing the item in entirety, (2) close-up photo of the specific defect, and (3) clear photograph of the sewn-in garment size label and courier package label.

7.3 Remedy Limited to Reprint: For verified manufacturing flaws, our sole liability and your exclusive remedy is a complimentary replacement reprint manufactured and dispatched via standard shipping. Cash refunds are strictly excluded for custom goods.

8. Shipping, Customs, Import Duties & Transfer of Risk

8.1 Transfer of Risk (FOB Shipping Point): Risk of loss and title to merchandise pass to the buyer upon hand-off by our production facility to the shipping carrier. Once a tracking number is registered as "Delivered" with carrier scan proof, our delivery obligations are legally complete. We are not responsible for mail theft, package tampering, or porch piracy occurring after carrier delivery.

8.2 Import Taxes & Local Tariffs: All international shipments may be subject to customs duties, VAT, and brokerage fees imposed by the destination government. All such fees are the sole financial responsibility of the recipient. Refusal to pay customs charges resulting in abandonment or destruction of the parcel does not entitle the buyer to a refund.

8.3 Address Accuracy: If a package is deemed undeliverable due to an incomplete, misspelled, or inaccurate address provided by the customer, the customer is responsible for all re-shipment freight expenses.

9. Customer Conduct & Zero-Tolerance Anti-Abuse Policy

THREADFLOW maintains a strict zero-tolerance policy regarding customer misconduct. Any communication containing profanity, hostile accusations, personal harassment, extortion threats, abusive language, or discriminatory remarks directed at our customer service personnel will result in immediate and permanent termination of support, cancellation of pending services, and blacklisting of the user’s account and payment credentials across our merchant network.

10. Mandatory Individual Binding Arbitration & Class Action Waiver

10.1 Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the purchase of goods shall be settled through confidential, binding individual arbitration administered under commercial arbitration rules, rather than in court.

10.2 Class Action Waiver: YOU AND THREADFLOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL THREADFLOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE OUR GOODS. IN ALL CIRCUMSTANCES, OUR MAXIMUM TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE EXACT AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC ORDER IN DISPUTE.
